VPDL TERMS OF SERVICE

1. INTRODUCTION
These Terms of Service ("Terms") govern access to and use of the VPDL – Vocal Performance Description Language service, website, dashboard, and related features (collectively, the "Service").

By accessing, browsing, creating an account, subscribing to a paid plan, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
2. THE SERVICE
VPDL is an AI-powered text transformation service designed to convert written text into more natural spoken-performance scripts suitable for use with text-to-speech and related voice workflows.
The Service does not provide audio generation itself. The Service provides text-based transformations and related account, billing, and plan-management functionality.
The Service may be updated, modified, improved, limited, suspended, or discontinued at any time, in whole or in part.
3. ELIGIBILITY AND LEGAL CAPACITY
You may use the Service only if you have the legal capacity to enter into a binding agreement under the laws applicable in your jurisdiction.
If you use the Service on behalf of a company, organization, client, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.
4. ACCOUNT REGISTRATION AND ACCESS
To access certain features of the Service, you may be required to create an account.
Account access may be provided through one or more authentication methods, including email and password login or third-party login providers such as Google OAuth.
You are responsible for:
maintaining the confidentiality of your login credentials;
all activities occurring under your account;
providing accurate and up-to-date account information; and
promptly notifying the provider of any unauthorized access or suspected security issue.
You must not share your account, lend access to others, or use another person's account without authorization.
5. SUBSCRIPTIONS, PLANS, AND BILLING
The Service may be offered under one or more subscription plans, including a free plan and paid plans. Available plans, pricing, features, limits, and included credits are described in the user interface, pricing page, checkout flow, or account settings, and may be updated over time.
Paid subscriptions are billed on a recurring basis unless otherwise stated. By subscribing to a paid plan, you authorize the applicable payment provider to charge the recurring fees, taxes, and other applicable amounts associated with your selected plan.
Subscription billing, checkout, and plan-management features may be provided through third-party services, including Stripe.
Unless otherwise stated, paid subscriptions automatically renew at the end of each billing cycle until canceled.
You may manage or cancel your subscription through the available billing settings or customer portal. Cancellation will generally take effect at the end of the current billing cycle, unless otherwise stated in the Service or required by law.
6. NO REFUNDS
Payments for digital services, subscriptions, and related service access are non-refundable.
No refunds, credits, or prorated reimbursements will be provided for:
partial billing periods;
unused subscription time;
unused credits;
downgrades during an active billing cycle; or
features not used by you.
This clause applies to the fullest extent permitted by applicable law. Where mandatory law grants non-waivable rights, those rights remain unaffected.
If applicable law provides a statutory withdrawal right for digital services, you expressly request immediate performance of the Service upon activation or first use and acknowledge that, to the extent permitted by law, you may lose any such withdrawal right once performance has begun.
7. CREDITS
The Service operates through a credit-based usage system.
Credits are non-monetary service units used to access transformations or other usage-based features within the Service. Credits:
have no cash value;
are not currency;
are not transferable;
cannot be redeemed for money or stored value; and
may be used only within the Service.
Each plan may include a monthly credit allocation. The amount of credits included depends on the active plan shown in the Service or pricing interface.
Unless otherwise stated in the user interface or plan settings, each successful transformation currently consumes one credit.
Credits are allocated on a monthly basis and reset at the beginning of each applicable billing cycle. Unused credits do not roll over. Any remaining unused credits at the end of the billing cycle are forfeited automatically and permanently.
If your credit balance is insufficient, transformations or other usage-based actions may be blocked until your plan is upgraded or credits are renewed in the next billing cycle.
The provider may change the credit structure, feature usage rules, transformation cost, plan allocations, or service limits at any time. Updated terms may be communicated through the Service, pricing pages, plan settings, or updated Terms.
8. FREE PLAN AND COMMERCIAL RIGHTS
The Service may offer different usage rights depending on the active subscription plan.
Unless expressly stated otherwise in a separate license document:
the Free plan is intended for non-commercial use only; and
paid plans that include commercial rights are governed by the applicable Commercial Output License published by the provider.
Any commercial use rights, if granted, are subject to the separate license terms made available by the provider and may be limited, suspended, or revoked in the event of violation of these Terms or the applicable license.
Nothing in these Terms grants any right to resell, sublicense, white-label, replicate, or commercially redistribute the Service itself.
9. USER CONTENT AND RESPONSIBILITY
You are solely responsible for all text, prompts, instructions, materials, and other content submitted, uploaded, or otherwise provided by you to the Service ("User Content").
You represent and warrant that:
you own or control the necessary rights to use the User Content;
your User Content does not infringe third-party rights;
your User Content complies with applicable laws and regulations; and
your User Content does not violate these Terms or any applicable policy governing the Service.
If you submit personal data, confidential information, or third-party material, you are responsible for ensuring that you have an appropriate legal basis and all required rights, permissions, and notices for such submission.
10. OUTPUTS
The Service may generate transformed text, rewritten scripts, or other text-based results ("Outputs").
Subject to your compliance with these Terms, the applicable plan, and any separate license terms, you may use Outputs in accordance with the rights granted under your active plan and the applicable Commercial Output License or non-commercial restrictions.
You acknowledge that:
Outputs are generated through automated systems;
Outputs may be similar or identical for different users;
Outputs may contain errors, omissions, inaccuracies, or undesired phrasing;
Outputs may not be suitable for every purpose; and
you are solely responsible for reviewing, editing, validating, and using Outputs before relying on them.
The provider does not guarantee that any Output will be unique, lawful for your intended use, commercially valuable, technically compatible with a specific third-party tool, or free from error.
11. THIRD-PARTY SERVICES AND AI SYSTEMS
The Service relies on third-party infrastructure and services, including authentication, hosting, billing, and artificial intelligence providers.
In particular, text processing and transformation functions may rely on third-party AI systems, including OpenAI models.
Because the Service depends on third-party systems:
availability, response times, quality, and continuity may vary;
some requests may fail, be delayed, or return incomplete results;
certain inputs or requested outputs may be restricted, blocked, or refused; and
features may change if third-party services, policies, pricing, or technical capabilities change.
In specific cases, filters or blocks may be applied to submitted text when it violates the guidelines of third-party models used for processing. The provider is not responsible for limitations, refusals, safety interventions, or other restrictions imposed by third-party services.
12. ACCEPTABLE USE
You must use the Service lawfully, responsibly, and in good faith.
You must not:
use the Service for unlawful, fraudulent, deceptive, abusive, or harmful purposes;
submit content that you do not have the right to use;
attempt to exploit, probe, reverse engineer, or interfere with the Service, its infrastructure, or connected systems;
bypass plan limits, billing mechanisms, safety features, or technical restrictions;
use automated methods to abuse the Service beyond normal intended use;
resell, lease, sublicense, or provide the Service to third parties as a competing or substitute service;
use the Service in a way that violates third-party model policies or applicable law; or
engage in conduct that may damage the provider, the Service, other users, or third parties.
Additional or more detailed usage rules may be stated in a separate Acceptable Use Policy, which forms part of these Terms.
13. TECHNICAL AND OPERATIONAL LIMITS
Use of the Service is subject to technical and operational limits, which may be updated over time and communicated in the user interface, plan settings, pricing pages, documentation, or other service notices.
Such limits may include, without limitation:
character limits;
usage caps;
rate limits;
feature restrictions by plan;
beta or experimental limitations;
temporary maintenance windows; and
capacity-based restrictions.
The provider may apply limits, throttling, suspensions, or protective measures where reasonably necessary for service integrity, security, legal compliance, abuse prevention, or operational continuity.
14. BETA AND EXPERIMENTAL FEATURES
Some plans may include beta, preview, or experimental features.
Beta or experimental features are provided on an as-is and as-available basis, may be incomplete or unstable, may be modified or removed at any time, and may be subject to additional limits or conditions.
The provider does not guarantee continuity, availability, performance, or support for beta or experimental features.
15. INTELLECTUAL PROPERTY
The Service, including its website, software, interface, branding, names, logos, design elements, documentation, and all related materials made available by the provider, are owned by or licensed to the provider and are protected by applicable intellectual property and unfair competition laws.
Except for the limited rights expressly granted under these Terms, no rights, title, or interest in or to the Service are transferred to you.
You may not copy, reproduce, modify, distribute, sell, license, decompile, reverse engineer, or create derivative services based on the Service except where such restriction is prohibited by mandatory law.
16. FEEDBACK
If you submit suggestions, ideas, feedback, recommendations, or improvement proposals regarding the Service, you grant the provider a worldwide, non-exclusive, royalty-free, perpetual, irrevocable right to use, reproduce, adapt, publish, and implement such feedback without restriction and without compensation to you.
17. SERVICE AVAILABILITY AND DISCLAIMER
The Service is provided on an as-is and as-available basis, on a best-effort basis, without warranties of any kind, whether express, implied, statutory, or otherwise.
To the fullest extent permitted by law, the provider disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, performance, or suitability for a specific workflow, business purpose, or commercial outcome.
The provider does not warrant that:
the Service will be uninterrupted, secure, error-free, or always available;
the Service will meet your expectations or requirements;
any transformation will succeed;
any Output will be accurate, compliant, or useful for your intended purpose; or
errors or defects will always be corrected.
18. LIMITATION OF LIABILITY
To the fullest extent permitted by law, the provider shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or loss-of-profit damages, or for any loss of revenue, business, goodwill, data, expected savings, or opportunities, arising out of or in connection with the Service, even if advised of the possibility of such damages.
To the fullest extent permitted by law, the total aggregate liability of the provider for any claim arising out of or relating to the Service or these Terms shall not exceed the total amount actually paid by you to the provider for the Service during the three months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
19. SUSPENSION AND TERMINATION
The provider may suspend, restrict, or terminate your access to the Service, in whole or in part, with or without notice, if:
you violate these Terms or applicable policies;
payment fails or is reversed;
your use creates legal, technical, or security risk;
abuse, fraud, or unauthorized access is suspected; or
continuation of the Service is no longer reasonably possible.
You may stop using the Service at any time. You may cancel a paid subscription through the available billing tools, subject to the billing rules stated in these Terms.
Upon suspension or termination:
your right to access and use the Service may end immediately;
unused credits may be lost;
the provider may retain necessary records as required for legal, security, accounting, or operational reasons; and
provisions that by nature should survive termination will remain in effect.
20. CHANGES TO THE SERVICE OR TERMS
The provider may modify the Service, plans, prices, features, credits, technical limits, policies, or these Terms from time to time.
Updated Terms become effective when published or on the stated effective date. Continued use of the Service after the updated Terms become effective constitutes acceptance of the updated Terms.
If you do not agree to a change, you must stop using the Service and, if applicable, cancel your subscription before the next renewal.
21. GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of Italy and applicable European Union regulations, without regard to conflict-of-law principles.
Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Udine, Italy, except where mandatory law provides otherwise.
22. SEVERABILITY
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
23. ENTIRE AGREEMENT
These Terms, together with any applicable license terms, billing terms, privacy notice, and acceptable use rules made available by the provider, constitute the entire agreement between you and the provider regarding the Service and supersede prior understandings relating to the same subject matter.
