VPDL PAYMENT AND BILLING POLICY

1. INTRODUCTION
This Payment and Billing Policy explains how subscription billing, payments, credits, renewals, cancellations, and related billing matters are handled for VPDL – Vocal Performance Description Language (the "Service").
This Policy forms part of the legal documentation governing the Service and should be read together with the Terms of Service and any other applicable legal notices or plan-specific terms made available through the Service.

2. BILLING PROVIDER AND PAYMENT PROCESSING
Payments for paid plans are processed through third-party payment service providers, including Stripe.
Subscription checkout, recurring billing, payment collection, payment method management, and customer self-service subscription management may be provided through Stripe Checkout, Stripe Billing, and the Stripe Customer Portal, or through equivalent billing tools made available by the Service.
By subscribing to a paid plan, you authorize the applicable payment provider to charge the payment method you provide for recurring subscription fees, applicable taxes, and any other payable amounts associated with your selected plan.
The provider does not directly store full payment card details unless explicitly stated otherwise through the Service. Payment processing is handled by the applicable third-party billing provider in accordance with its own terms and privacy practices.
3. SUBSCRIPTION PLANS
The Service may offer one or more subscription plans, including a free plan and paid plans.
Current plan names, plan availability, pricing, included credits, usage rights, and feature sets are displayed in the pricing interface, checkout flow, account settings, or other service pages made available to users.
At the time of this Policy's Effective Date, the Service pricing interface may include, among others, the following plan structure:

Pro
Studio
The Studio plan may be listed as coming soon or otherwise unavailable for activation until officially released.
Plan names, prices, features, and credit allocations may be changed, replaced, suspended, removed, or updated at any time.
4. RECURRING BILLING AND RENEWAL
Paid plans are billed on a recurring subscription basis unless otherwise expressly stated.
Your subscription renews automatically at the end of each billing cycle unless you cancel before the next renewal date.
The recurring billing cycle may be monthly or as otherwise stated in the pricing interface, checkout flow, or billing settings.
By purchasing a paid plan, you agree to recurring billing and authorize the applicable payment provider to charge your selected payment method at each renewal until cancellation.
Unless otherwise required by applicable law or expressly stated by the Service, cancellation of a paid subscription prevents future renewals but does not retroactively cancel the current paid billing period.
5. PRICING AND TAXES
Prices for paid plans are shown in the Service, checkout flow, or billing interface.
Displayed prices may be shown with or without applicable taxes depending on the checkout configuration, user location, tax rules, and legal requirements. Any applicable taxes, duties, or mandatory charges will be presented during checkout where required.
You are responsible for any taxes, levies, duties, or similar charges associated with your purchase, except for taxes imposed directly on the provider's income where applicable law states otherwise.
The provider may change pricing at any time. Unless otherwise stated, updated pricing will apply from the next renewal or from the time of purchase of a new plan, subject to any notice required by applicable law.
6. PAYMENT AUTHORIZATION
By submitting payment information and purchasing a paid plan, you represent and warrant that:
you are authorized to use the selected payment method;
the billing information you provide is accurate and current; and
you authorize the provider and its billing processor to charge the full amount due for the selected subscription plan and any applicable taxes or charges.
If payment cannot be completed, the provider may suspend, limit, or deny access to paid features until the payment issue is resolved.
7. FAILED PAYMENTS AND BILLING ISSUES
If a recurring charge fails, the applicable billing provider may attempt to retry the payment using its standard billing logic and settings.
During a failed payment state, the provider may:
limit access to paid features;
reduce the account to free-plan functionality;
block further transformations that require paid credits;
suspend the subscription status; or
terminate the subscription if payment is not successfully collected.
The provider is not responsible for fees, penalties, overdraft charges, currency conversion costs, or similar charges imposed by your bank, card issuer, or payment provider.
You are responsible for keeping your payment method current and valid.
8. CANCELLATION
You may cancel a paid subscription through the billing settings, the Stripe Customer Portal, or any other subscription management interface made available by the Service.
Unless otherwise stated, cancellation takes effect at the end of the current billing cycle. You will generally retain access to the paid plan until the end of that billing cycle, after which renewal will stop.
Canceling a subscription does not entitle you to any refund for the current billing period, any already-charged renewal, any partially used period, or any unused credits, except where required by applicable law.
9. UPGRADES AND DOWNGRADES
The Service may allow users to upgrade or downgrade plans.
Any upgrade, downgrade, or plan change may take effect immediately, at the next billing cycle, or according to the billing logic shown in the user interface or checkout flow.
The exact handling of plan changes, including any immediate charge, proration, feature access adjustment, or revised renewal amount, depends on the billing configuration in effect at the time of the change.
The provider does not guarantee that all plan changes will be available at all times.
10. FREE PLAN
The Service may offer a free plan with limited features, credits, usage rights, and technical capabilities.
The free plan does not require recurring subscription charges unless the user upgrades to a paid plan.
The free plan may be changed, restricted, suspended, discontinued, or replaced at any time.
Use of the free plan does not create any entitlement to continued free access, continued free credits, or grandfathered pricing or features.
11. CREDITS
The Service uses a credit-based usage model.
Credits are non-monetary service units that allow access to transformations or other usage-based functionality within the Service.
Credits:
have no cash value;
are not electronic money, stored value, or currency;
are non-transferable;
cannot be resold, assigned, or exchanged;
and may be used only within the Service.
Each subscription plan may include a monthly credit allocation. The amount of credits available to a user depends on the user's active plan as shown in the Service, pricing page, or billing interface.
Unless otherwise stated in the Service, each successful transformation currently consumes one credit.
12. MONTHLY CREDIT RESET AND EXPIRATION
Credits are allocated on a recurring billing-cycle basis.
Unused credits do not roll over to the next billing cycle.
At the end of each applicable monthly billing cycle, any remaining unused credits are automatically forfeited, expire, and are permanently removed from the account balance.
A new monthly credit allocation, if any, is granted according to the active plan at the start of the next applicable billing cycle after successful renewal or according to the Service's current billing logic.
Expired or forfeited credits are not refundable, cannot be reinstated merely because they were not used, and cannot be converted into cash, discounts, or future service value.
13. INSUFFICIENT CREDITS
If your available credit balance is insufficient, transformations or other usage-based actions may be blocked until your plan is upgraded, renewed, or otherwise replenished through mechanisms made available by the Service.
The Service may display messages, prompts, or upgrade notices directing users to billing settings or plan management pages when credit balances are insufficient.
14. NO REFUNDS
Payments for digital services, subscriptions, and related access to the Service are non-refundable.
No refunds, credits, or prorated reimbursements will be granted for:
unused subscription time;
partial billing periods;
unused credits;
plan downgrades;
voluntary cancellation during an active billing cycle;
changes in user needs or expectations; or
non-use of available features.
This no-refund rule applies to the fullest extent permitted by applicable law.
Where mandatory law provides non-waivable consumer rights, those rights remain unaffected.
15. DIGITAL SERVICE PERFORMANCE AND WITHDRAWAL RIGHTS
The Service is a digital service that may begin performance immediately after account activation, subscription activation, or first use.
Where applicable, and to the extent permitted by law, by purchasing or activating a paid plan and using the Service, you expressly request immediate performance of the digital service.
Where required by applicable law, you may also be asked to acknowledge that once performance has begun, you may lose any statutory right of withdrawal that would otherwise apply to digital services.
Nothing in this Policy limits any mandatory consumer protection rights that cannot legally be excluded.
16. PLAN AND BILLING CHANGES
The provider may change subscription plans, billing logic, plan names, prices, taxes, features, included credits, technical limits, availability of plans, or payment methods at any time.
Any such changes may be reflected in the user interface, pricing page, checkout flow, billing settings, Terms of Service, or updated legal documentation.
Unless otherwise required by applicable law, changes to recurring prices for existing subscribers will apply from a future billing cycle after the change becomes effective.
17. SUSPENSION OR TERMINATION FOR BILLING REASONS
The provider may suspend, restrict, downgrade, or terminate access to paid features or the Service in whole or in part if:
payment fails;
a charge is reversed or disputed;
fraud is suspected;
your billing activity presents legal, financial, or security risk; or
you violate the Terms of Service or applicable billing-related rules.
Such actions may result in loss of access to paid features, reduced plan access, blocked transformations, or loss of credits to the extent permitted by the Service and applicable law.
18. THIRD-PARTY BILLING SERVICES
Billing-related services depend on third-party systems. The provider is not responsible for downtime, outages, delays, errors, currency conversion issues, payment gateway failures, customer portal unavailability, or other limitations caused by third-party billing providers.
